{"id":978,"date":"2020-09-23T13:17:53","date_gmt":"2020-09-23T13:17:53","guid":{"rendered":"https:\/\/www.glos.ac.uk\/information\/?post_type=ht_kb&#038;p=978"},"modified":"2026-04-16T12:45:19","modified_gmt":"2026-04-16T12:45:19","slug":"council-terms-of-reference","status":"publish","type":"ht_kb","link":"https:\/\/www.glos.ac.uk\/information\/knowledge-base\/council-terms-of-reference\/","title":{"rendered":"Council Terms of Reference"},"content":{"rendered":"\n<p>Council currently comprises 20 members consisting of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"\">14 External Members;<\/li>\n\n\n\n<li class=\"\">the Vice-Chancellor;<\/li>\n\n\n\n<li class=\"\">one Academic Staff Member;<\/li>\n\n\n\n<li class=\"\">one General Staff Member;<\/li>\n\n\n\n<li class=\"\">one Member of Academic Board;<\/li>\n\n\n\n<li class=\"\">two Student Members.<\/li>\n<\/ul>\n\n\n\n<p>Council, to fulfil its function as the Governing Body, has created a number of standing committees to assist in its work. By virtue of the Articles of Association, Council itself holds full responsibility for:<\/p>\n\n\n\n<p>(i) the determination of the educational character and mission of the University;<\/p>\n\n\n\n<p>(ii) the approval of the annual estimates of income and expenditure;<\/p>\n\n\n\n<p>(iii) ensuring the solvency of the University and the safeguarding of its assets;<\/p>\n\n\n\n<p>(iv) the appointment or dismissal of the Senior Staff;<\/p>\n\n\n\n<p>(v) the varying or revoking of the Articles of Association of the University;<\/p>\n\n\n\n<p>In addition, Council has also resolved to retain responsibility for a number of other powers as detailed in the Scheme of Delegations and the Statement of Primary Responsibilities.<\/p>\n\n\n\n<p>Full details of Council, its membership and general operation, are available from the Secretary to Council.<\/p>\n\n\n\n<h3 class=\"heading wp-block-heading is-4--mobile is-4 is-4\">Mode of operation<\/h3>\n\n\n\n<p><strong>Chair: <\/strong>Appointed by Council<\/p>\n\n\n\n<p><strong>Vice Chair:<\/strong> Elected by Council<\/p>\n\n\n\n<p><strong>Officer: <\/strong>Secretary to Council<\/p>\n\n\n\n<h3 class=\"heading wp-block-heading is-4 is-4\">Quorum<\/h3>\n\n\n\n<p>The quorum for meetings of the Council shall be 8 Members of Council entitled to vote on the item being discussed of whom more than half shall be External Council Members. In the event that reserved business (as prescribed in Regulations) is to be considered, then the quorum for the meeting of Council shall be 7 External Members.<\/p>\n\n\n\n<p>If at the time appointed for a meeting, or during the course of the meeting, sufficient numbers of members of Council to form a Quorum are not present the meeting shall stand adjourned and a Special Meeting may be summoned. Any meeting may be adjourned by resolution.<\/p>\n\n\n\n<h3 class=\"heading wp-block-heading is-4 is-4\">Frequency of meetings<\/h3>\n\n\n\n<p>Five times per year.<\/p>\n\n\n\n<h3 class=\"heading
